Position Purpose:
Reporting to and working in collaboration with the Corporate Secretary (CS), the Assistant Corporate Secretary plays a key role in supporting the broad range of corporate governance and corporate secretarial functions.
Essential Functions:
Preparation of all Board of Directors (BOD) and Committee materials prior and subsequent to BOD and Committee meetings.
Record, prepare, and maintain all BOD and Committee meeting agendas, minutes, and records.
Schedule, plan, and attend BOD meetings and Committee meetings.
Maintain records and prepare Securities and Exchange Commission regulatory filings.
Assist with preparation for and participate in the Company's Annual Shareholder meeting, including assistance with activities related to preparation of the Company's proxy statement and Annual Report.
Track and ensure compliance with internal governance functions.
Assist with onboarding of new directors.
Assist with the preparation and review of legal documents.
Coordinate and maintain information received from directors on an ongoing basis.
Prepare and submit monthly expense reports for individual directors.
Maintain and be familiar with the Articles of Incorporation and Bylaws for the Company, and Charters for BOD Committees Update and maintain electronic corporate files, legal records, databases, email, and directories Fulfill due diligence and other information requests as needed Provide direct support to the BOD, Executive Management Team (EMT), and Corporate Secretary to ensure that all duties of the Office of the Corporate Secretary are carried out in an effective and timely manner Maintain and update legal project tracking timelines and schedule key dates and deadlines Maintain and update monthly and annual BOD and Committee schedules to ensure compliance with periodic review requirements and timelines Perform other duties as assigned.
Qualifications/Requirements:
Bachelor's Degree or equivalent combination of education and experience Strong communication, organizational, and planning skills required.
Typically requires a minimum of four (4) years of relevant experience in an equivalent position, including experience taking and preparing detailed meeting minutes.
Ability to develop a thorough working knowledge of First Fed policies, procedures, and systems.
Highly effective oral and written communication, organizational, and planning skills essential Ability to multi-task and prioritize inquiries from a wide variety of sources.
Ability to direct the performance of multiple sources simultaneously.
Ability to handle confidential and highly sensitive situations with discretion, tact, and diplomacy.
Ability to effectively elicit cooperation and support from and coordinate the work of others.
Demonstrated proficiency in the use of the Microsoft Office suite of products is required.
Keyboard speed in excess of 60 WPM is a minimum entry level requirement.
Physical Requirements:
The work requires the ability to operate office machines and equipment, such as personal computers, printers, copying machines and telephones.
The work requires the ability to communicate clearly with customers, coworkers, and others in person and on telephones.
Work activities involve combinations of sitting/standing for extended periods.
Pay Range The pay range for this position is $26.
45 - $44.
96 The typical hiring range for this position is $26.
45 - $30.
35 The incentive plan for this position is the Support Staff Incentive plan.
The payout amount for achieving the quarterly goal(s) is 5% of the quarterly base salary and is paid out quarterly.
In order to achieve the binary payout, the task must be completed satisfactorily.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
